Terms of Service

These Terms of Service ("Terms") govern your access to and use of the eComrads platform, website, tools, and all related services (collectively, the "Services"). They apply to everyone - registered members, trial users, and visitors alike.

These Terms work alongside our Privacy Policy, Cookie Policy, and Subscription & Refund Policy - all incorporated here by reference. Together, they form the complete agreement between you and eComrads.

We may update these Terms from time to time. We'll update the "Last Updated" date above and notify you of material changes through the platform or by email. Continuing to use eComrads after an update takes effect means you accept the new Terms.

eComrads is for adults only. You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction to use our Services. We do not knowingly allow anyone under 18 to create an account.

If you're signing up on behalf of a company or legal entity, you confirm you have authority to bind that entity to these Terms - and all references to "you" include that entity.

To use most of eComrads, you'll need an account. When you register, provide accurate information and keep it current - outdated details can affect how the platform works for you.

Your account credentials are your responsibility. You're accountable for everything that happens under your account, authorized or not. Suspect unauthorized access? Contact us right away at support@ecomrads.com.

Accounts are personal and non-transferable. Don't share, sell, or hand your account off to someone else. We may suspend or terminate accounts that violate these Terms or that appear to be used in ways that harm users or the platform.

eComrads gives eCommerce sellers tools to build and grow - content creation, campaign management, analytics, community resources, and more. What's available to you depends on your subscription plan.

Platform Credits

Some features use a virtual credit system. Credits come with your plan, have no cash value, can't be transferred or redeemed, and may expire when your subscription ends. We can adjust credit allocations at any time.

Third-Party Integrations

eComrads connects to outside platforms - ad networks, payment processors, analytics tools, and others. We don't control those third parties, and we're not responsible for their behavior, uptime, or data practices. Using integrations is also subject to each third party's own terms.

No Guaranteed Results

We provide the tools - what you do with them determines the outcome. eComrads makes no guarantees of specific sales, revenue, ad performance, or growth. Results depend on many factors outside our control.

You may upload or create content on eComrads - images, text, video, product info, and more ("Your Content"). You own it. We don't claim ownership of what you bring to the platform.

By submitting content, you give us a non-exclusive, worldwide, royalty-free license to host, store, process, and display it - but only to the extent needed to provide and improve the Services. This license ends when you delete the content or close your account, except where it's already been distributed in a way that can't be undone.

You're responsible for Your Content. By submitting it, you confirm that:

• You have the rights or permissions needed to use and share it;
• It doesn't infringe anyone's IP, privacy, or other rights;
• It's lawful and doesn't contain anything harmful, deceptive, or illegal;
• If it features real, identifiable people, you have their consent.

We may remove content that violates these Terms or that we deem harmful - but we're not required to proactively monitor everything on the platform.

eComrads is built for legitimate eCommerce use. These things are strictly off-limits:

• Breaking any applicable law or regulation;
• Harassing, defrauding, or deceiving other users or third parties;
• Attempting unauthorized access to the platform, user accounts, or our systems;
• Scraping, reverse-engineering, or extracting data without written permission;
• Running bots or automated scripts without authorization;
• Uploading malware or anything designed to disrupt the platform;
• Creating multiple accounts for deceptive or abusive purposes;
• Reselling or sublicensing platform features without our consent;
• Using eComrads to build a competing product;
• Removing or altering eComrads branding or proprietary notices.

Violations may result in immediate account suspension or termination, without refund.

Paid access is governed by our Subscription & Refund Policy, which is part of this agreement. That policy covers plan options, billing cycles, auto-renewal, cancellation, and refund eligibility. Read it before subscribing.

By subscribing, you authorize eComrads and our payment partners to charge your payment method on a recurring basis until you cancel. Cancelling stops future charges but doesn't entitle you to a refund for the current period.

eComrads - the platform, design, code, features, branding, and all associated content - belongs to eComrads or our licensors. You get a limited, non-exclusive, non-transferable, revocable right to use the platform as permitted under these Terms. That's it. You don't acquire any IP rights by using eComrads.

If you share feedback, ideas, or suggestions about improving the platform, we can use those freely without compensation or attribution. We appreciate input, but we can't make promises tied to it.

We may mention your name or logo as a customer in our marketing. If you'd rather we didn't, just email support@ecomrads.com.

We take copyright seriously. If you believe content on eComrads infringes your copyright, submit a DMCA takedown notice to our Copyright Agent. Include:

• Your signature (or an authorized representative's);
• A description of the copyrighted work allegedly infringed;
• The URL or location of the infringing material;
• Your contact details (name, address, phone, email);
• A statement of good faith belief that the use is unauthorized;
• A declaration, under penalty of perjury, that the information is accurate.

Repeat infringers may have their accounts terminated. Knowingly submitting a false DMCA notice may expose you to legal liability.

eComrads is provided "as is" and "as available." We make no warranties - express, implied, or statutory - about the platform, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We don't promise the platform will always be available, error-free, or secure. We don't guarantee that any content generated through eComrads will be accurate, legally compliant, or right for your specific situation. You use the platform at your own risk.

Nothing here limits any statutory rights you have as a consumer that can't be waived by contract under applicable law.

Our Liability Cap

To the fullest extent permitted by law, eComrads won't be liable for indirect, incidental, consequential, special, or punitive damages - including lost profits, lost data, goodwill loss, or business interruption - arising from your use of or inability to use the platform, under any legal theory.

Our total liability for any claim related to these Terms or the Services will not exceed the greater of: (a) what you paid us in the 30 days before the claim arose, or (b) $100 USD.

Your Indemnification of Us

You agree to indemnify and hold eComrads and its team harmless from any claims, losses, damages, or costs (including legal fees) that arise from your use of the Services, Your Content, your violation of these Terms, or your infringement of any third party's rights.

We'd always rather solve problems directly - please reach out before escalating anything.

If a dispute can't be resolved informally, it will be settled through binding individual arbitration. This means no jury trial and no class action participation. The arbitration process will be governed by rules we'll provide upon request.

These Terms are governed by Delaware law, without regard to conflict-of-law principles. Any claims not subject to arbitration are subject to the exclusive jurisdiction of Delaware courts.

You can close your account anytime via account settings or by emailing support@ecomrads.com. This ends your license to use the platform but does not automatically cancel an active subscription - cancel that separately first.

We may suspend or terminate your access at any time - with notice where practicable - if you've violated these Terms, engaged in harmful conduct, or for legitimate legal or operational reasons. We're not liable for losses caused by a good-faith termination.

Provisions that should naturally survive will continue to apply after your account closes.

Whole agreement. These Terms plus incorporated policies are the complete agreement between you and eComrads on the Services topic and replace any prior agreements.

Severability. If any provision is found unenforceable, it will be adjusted to the minimum extent necessary, and the rest stays in effect.

No waiver. Not enforcing a provision once doesn't waive our right to enforce it later.

Assignment. You can't assign your rights here without our written consent. We can assign ours freely, including in a merger or acquisition.

Force majeure. We're not liable for delays or failures caused by things outside our reasonable control - natural disasters, cyberattacks, infrastructure outages, pandemics, or government actions.

No agency. These Terms don't create a partnership, employment, agency, or joint venture between you and eComrads.
